Terms and Conditions

Agreement

These Terms and Conditions ("Terms") are an agreement between you and Valinor Systems LLC ("Valinor," "we," "us," or "our"), the owner and operator of Spresso Club and the Spresso Club app. By creating an account, reserving a username, or using Spresso Club, you agree to these Terms.

The Service

Spresso Club helps people discover coffee shops, make lists, share recommendations, and engage with friends. Before the iOS app is publicly available, parts of the service may be limited to account creation, username reservation, email confirmation, and launch updates.

Eligibility

You must be at least 13 years old to use Spresso Club. If you use Spresso Club on behalf of an organization, you represent that you have authority to accept these Terms for that organization.

Accounts

You are responsible for the accuracy of the information you provide and for keeping your login credentials secure. You may not impersonate someone else, reserve a username you do not have a legitimate right to use, or use a username that is unlawful, misleading, abusive, or infringes another person's rights.

We may reclaim, suspend, or remove usernames, profiles, or accounts that violate these Terms, create confusion, infringe rights, or are needed to protect Spresso Club or its users.

Email Communications

By creating a Spresso Club account or reserving a username, you acknowledge that your email address may be added to the Spresso Club newsletter and launch update list. We may use that email address to send product updates, launch announcements, and other Spresso Club communications. You can unsubscribe from marketing emails when an unsubscribe option is provided, though we may still send transactional or account-related messages.

User Content

You are responsible for reviews, ratings, photos, lists, profile information, comments, shop submissions, and other content you submit to Spresso Club ("User Content"). You represent that you have the rights needed to submit your User Content and that it does not violate any law or third-party rights.

You grant Valinor a worldwide, non-exclusive, royalty-free license to host, use, reproduce, modify, display, distribute, and create derivative works from your User Content as needed to operate, improve, promote, and provide Spresso Club. You keep ownership of your User Content.

Acceptable Use

You agree not to:

• Harass, threaten, abuse, or impersonate others.
• Post false, misleading, defamatory, hateful, sexual, violent, or unlawful content.
• Upload content that infringes intellectual property, privacy, or publicity rights.
• Scrape, crawl, reverse engineer, or interfere with Spresso Club.
• Attempt to bypass security, rate limits, moderation, or access controls.
• Use Spresso Club for spam, fraud, malware, or unauthorized commercial activity.

Moderation and Reporting

We may review, remove, limit, or refuse to display content or accounts that we believe violate these Terms or may harm Spresso Club, users, coffee shops, or the public. Social features may include tools to report content or block users.

Coffee Shop Information

Coffee shop details, reviews, ratings, hours, amenities, prices, photos, and map information may be submitted by users or provided by third parties. We do not guarantee that this information is accurate, complete, current, or suitable for your needs. Confirm important details directly with the coffee shop.

Third-Party Services

Spresso Club may rely on third-party services for hosting, authentication, databases, maps, analytics, email, and other functionality. Your use of those services may be subject to their own terms and privacy policies.

Intellectual Property

Spresso Club, our logos, designs, software, copy, and other materials are owned by Valinor or its licensors and are protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, branding, or proprietary materials except as necessary to use Spresso Club as intended.

Feedback

If you send ideas, suggestions, or feedback, you grant Valinor the right to use them without restriction or compensation to you.

Termination

You may stop using Spresso Club at any time. We may suspend or terminate access to Spresso Club if we believe you violated these Terms, created risk for others, or used the service in a way that may harm Spresso Club.

Disclaimers

Spresso Club is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We do not warrant that Spresso Club will be uninterrupted, secure, error-free, or accurate.

Limitation of Liability

To the maximum extent permitted by law, Valinor Systems LLC and its affiliates, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities arising from or related to Spresso Club or these Terms.

Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the website, app, email, or another reasonable method. Continued use of Spresso Club after updated Terms take effect means you accept the updated Terms.
